End-User License Agreement

Ridgeline Technologies, LLC  ·  Last updated: October 7, 2026

This End-User License Agreement (“Agreement”) is between Ridgeline Technologies, LLC (“Provider,” “we,” “us”) and the individual or entity that licenses the plugin (“Customer,” “you”). By installing or using the plugin (“Plugin”) obtained through the Grafana Labs Marketplace, you agree to this Agreement. If you do not agree, do not install or use the Plugin.

1. License

Subject to your payment of applicable fees through the Grafana Labs Marketplace (or during a free trial offered there) and your compliance with this Agreement, Provider grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Plugin within your own Grafana environment, including a Grafana Cloud stack that reaches your own systems through Private Data Source Connect, for your internal business purposes (not personal, family, or household use) during the term of your subscription.

1A. Users and Licensed Quantity

The Plugin is licensed per user. Fees are based on every user in your Grafana organization, as counted by Grafana Labs, whether or not each user opens the Plugin; a service account counts as one user. If this Agreement and your Marketplace order differ on user count, the order controls. Check your user count in the Marketplace listing or order before you start a trial.

1B. Free Trial

If the Marketplace listing offers a free trial, it lasts for the period stated there and does not require payment details to start. The trial does not convert to a paid subscription automatically. To keep using the Plugin after the trial ends, you must subscribe through the Marketplace under your order.

2. Restrictions

You may not: (a) copy, modify, or create derivative works of the Plugin except as expressly permitted; (b) reverse engineer, decompile, or disassemble the Plugin except to the extent applicable law permits; (c) redistribute, resell, sublicense, rent, or lease the Plugin; (d) remove or alter any proprietary notices; (e) use the Plugin in violation of applicable law; (f) use the Plugin to build a competing product or service; (g) use the Plugin where failure could lead to death, personal injury, or serious property damage; or (h) tamper with Grafana’s user-count or Marketplace billing measures.

3. Ownership

The Plugin is licensed, not sold. Provider and its licensors retain all right, title, and interest in and to the Plugin, including all intellectual property rights. Open source and third-party components included in the Plugin remain under their own licenses, which apply to those components instead of this Agreement. A list is available on request at support@ridgelinetechnologies.co.

4. Fees and Billing

The Plugin is sold and billed through the Grafana Labs Marketplace, which acts as reseller and seller of record. All fees, taxes, refunds, and payment terms are governed by your order with Grafana Labs. A free trial or private offer may be available through the Marketplace on the terms shown there; those terms control price, term, and quantity but do not change the other sections of this Agreement unless Provider signs them. Price changes follow the Marketplace’s process and notice rules and apply at renewal.

5. Support and Updates

Provider offers support by email at support@ridgelinetechnologies.co on a reasonable-efforts basis, with no service level or response time guaranteed. Provider will make updates available through the Marketplace and will use reasonable efforts to address security vulnerabilities it confirms in the Plugin.

6. Data and Privacy

The Plugin connects only to the Proxmox VE API address you configure, from within your Grafana environment. The Plugin does not send your Proxmox data, credentials, or usage information to Provider. Grafana Labs and your network may separately log or route that traffic (for example through a proxy you configure), which is outside Provider’s control. Provider’s handling of other data, such as support emails, is described in the Privacy Policy, incorporated by reference.

7. Warranty Disclaimer

8. Limitation of Liability

9. Term and Termination

This Agreement is effective for the term of your subscription and terminates if you materially breach it or cease using the Plugin. Upon termination you must stop using and remove the Plugin. Sections 1A (payment obligations), 2, 3, 6, 7, 8, 10, 11, and 12 survive termination.

10. Governing Law

This Agreement is governed by the laws of the State of North Carolina, excluding its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina.

11. Entire Agreement; Order of Precedence

This Agreement, together with the Privacy Policy and your Grafana Labs Marketplace order, is the entire agreement between the parties regarding the license to the Plugin and supersedes prior understandings; it does not modify your agreement with Grafana Labs. If they conflict, the Marketplace order and any private offer control as to price, term, and quantity, and this Agreement controls otherwise.

12. General

Assignment: you may not assign this Agreement without our written consent; we may assign it in a merger or sale of our business. Severability: if a provision is held unenforceable, the rest stays in effect. Waiver: not enforcing a provision is not a waiver. Notices: we may send notices to the contact details in your Marketplace order or post them on this page; you may send notices to support@ridgelinetechnologies.co. Changes: we may update this Agreement. Material changes take effect at your next renewal after 30 days’ notice, and you may cancel before they take effect.
